5 Things to do upon Receipt of Summons from ACRA


There are 5 things you can do upon receipt of summons from the Accounting and Corporate Regulatory Authority (“ACRA”).

#1 DO NOT IGNORE THE SUMMONS

As a Director or Company Secretary of your Company, if you ever receive summons from ACRA to attend court, you should take heed and read the summons carefully on what actions are required from you. Never ignore the summons.

#2 ASSESS YOUR COMPANY’S SITUATION

Before the date of the first hearing indicated in the summons, try all means to hold Annual General Meeting and file up-to-date Annual Return. You will need to pay late lodgement fees and composition sum. This would be the least expensive way to resolve the issue and you will not need to attend court. Thereafter, consider to strike off/wind up your Company if it is dormant.

#3 ATTEND COURT TO PLEAD GUILTY OR CLAIM TRIAL

Refer to the summons for court room number, date and time of hearing. If convicted, you will have to pay the fines as directed by the Court.

#4 ATTEND COURT TO SEEK ADJOURNMENT

If you are making representations to compound the breaches, you can apply to court for an adjournment of the hearing so that you can have more time to resolve outstanding issues and hold the Annual General Meeting and file up-to-date Annual Return.

#5 FACE WARRANT OF ARREST

Failure to attend Court will result in the issuance of Warrant of Arrest against you. Although you can apply to compound the breaches, the warrant can only be cancelled if ACRA is agreeable to compound the breaches.
